Terms & conditions

Important: These are general website and consultancy terms. A proposal, engagement letter, statement of work or agency agreement accepted by RNP and the client takes priority to the extent of any inconsistency. Obtain independent legal advice before relying on these terms for a material engagement.

1. Website use

This website provides general information only. It is not legal, financial, customs, tax or other regulated professional advice and does not create a client, agency, fiduciary or other advisory relationship.

2. Engagements and scope

Consulting services commence only when RNP and the client agree written scope and commercial terms. Each party must perform its stated responsibilities and promptly provide accurate information, decisions and access reasonably required. Variations must be agreed in writing and may affect fees and timing.

3. Advice and decisions

Advice is based on the information, assumptions and market conditions available at the time. The client remains responsible for its decisions, due diligence, approvals and implementation. RNP does not guarantee introductions, transactions, revenue, market access, regulatory approval, savings or any other outcome.

4. Trade brokerage and authority

Where agreed, RNP may facilitate introductions, negotiations, commercial coordination, agency or representation. RNP has no authority to bind a client or counterparty unless expressly authorised in writing. Fees, commissions, territories, exclusivity and post-termination entitlements must be documented in the relevant engagement.

5. Partners and referrals

RNP may recommend or coordinate third-party providers where their services support an engagement. Third-party services are governed by their own terms, and clients remain responsible for approving their appointment. RNP is not responsible for a third party's acts or omissions except to the extent required by law.

6. Regulated services

RNP is not represented as a licensed customs broker, legal practice or financial-services provider. Regulated work must be undertaken by the client or an appropriately qualified and licensed provider. Clients are responsible for import, export, sanctions, customs, tax, product, labelling and market-specific compliance.

7. Fees, expenses and GST

Fees, commissions, payment dates and approved expenses are set out in the engagement. Unless stated otherwise, amounts exclude GST. Overdue undisputed amounts may result in suspension after reasonable notice.

8. Confidentiality and intellectual property

Each party must protect confidential information and use it only for the engagement, subject to lawful disclosure and information already public or independently known. Each party retains its pre-existing intellectual property. Ownership and permitted use of engagement deliverables will be stated in the engagement terms.

9. Consumer rights and liability

Nothing excludes any guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. To the maximum extent permitted by law, liability and any permitted remedy limitation will be governed by the relevant engagement. Neither party is liable for indirect or consequential loss to the extent such exclusion is lawful.

10. Termination

Either party may terminate as provided in the engagement, including for an unremedied material breach. Accrued payment, confidentiality, intellectual property, liability and provisions intended to survive continue after termination.

11. Governing law

These terms are governed by the laws of New South Wales, Australia. The parties submit to the courts of New South Wales and applicable Commonwealth courts.
